John E. Ursin and Jennifer A. Golub Assist FellowshipLife with Acquisition of NJ Senior Living Facility


Partner John E. Ursin and Counsel Jennifer A. Golub represented FellowshipLife, a non-profit organization, in the acquisition of the assets of Keswick Pines, a senior living facility in Whiting, New Jersey. The affiliation is FellowshipLife’s third in the last 12 months, consistent with the client’s strategic plan to become a multi-site operator of high-quality residential communities and related services for older adults and will further FellowshipLife’s mission with a range of senior living communities. Jennifer Golub primarily coordinated the acquisition, which was a complex transaction and included the negotiation and assumption of tax-exempt bonds issued by a Wisconsin public authority, the transfer of real estate by both sale and lease, compliance with new laws triggered upon a “change of control” of a healthcare entity and environmental indemnification. Counsel Benjamin (Jamie) G. Taub and Associate Ashley M. Fay, in Schenck Price’s corporate department, also performed significant roles in the transaction.
