Business Organizations Practice Area GroupsCommercial Entities and Transactions. This practice group deals with the ordinary and extraordinary transactions that are the lifeblood of business. From the financing and formation of a business entity, to the contracts by which an entity sells its goods or services, to planning for succession to the next generation, to acquiring other businesses, merging with, or being acquired by them, the attorneys in the Commercial Entities and Transactions Practice Group help our clients to accomplish their goals successfully. Our experience in handling business transactions runs the gamut from very large and complex deals to very modest ones, in accordance with the needs of our diverse clientele. Health and Hospital Law. Attorneys in the Health and Hospital Law Practice Group provide representation of institutional health care providers and medical provider groups. Legal services and advice are provided on a broad range of health care issues and on matters affecting the organization of health care entities and providers. Analysis of federal and state regulations, medical staff and personnel matters, patient care and patient's rights issues, professional liability, and the business transactions of a hospital or medical group are among the many aspects of health care law that we address. School Law. Through its School Law Practice Group, the firm represents boards of education throughout the state as Board Attorneys or special counsel. The firm and its attorneys have had an active school law practice for over 20 years. We provide the full range of services required by boards of education, including drafting of policies and regulations, advising on legal procedures, counseling on personnel matters, negotiation of collective bargaining agreements, and appearing before Administrative Law Judges, to name a few. We regularly handle special education appeals and all other manner of litigated matters on behalf of boards of education. In addition, we represent boards in connection with all legal aspects of procurement and public works contracts, from preparation of contract documents, through public bidding, the construction or performance phase, dealing with municipal mechanics liens, and when necessary, arbitration or litigation of disputes. Employment Practices. The Employment Practices Practice Group provides services to management on a wide range of issues in the area of labor and employment law. Our attorneys provide advice, drafting, negotiation, and litigation services to employers ranging from large institutions to start-up technology companies to non-profit organizations. E-Business and Telecommunications. Attorneys in the E-Business and Telecommunications deal with matters relating to e-commerce, computer and Internet law, licensing, cable television, telephony, and wireless communications. The attorneys handle complex commercial and regulatory issues in these rapidly changing areas of business and law. Because these issues cut across numerous legal disciplines, we combine our special expertise regarding high-tech issues with the experience and skills of our colleagues throughout the firm to provide a depth of coverage for the needs of our e-business and telecommunications clients. Banking. The firm provides a range of services to meet the specialized needs of banks and various other financial institutions, including commercial lending, purchase, sale and operation of branches, loan workouts, regulatory reporting and disclosures, corporate representation and regulatory compliance, and insurance regulation. Creditors' Rights and Foreclosure. Essential to any business is the ability to maximize the collection of receivables. Our attorneys in the firm's Creditors' Rights and Foreclosure Practice Group, including a former director and manager of the legal and financial activities for the Office of the United States Bankruptcy Trustee in Newark, have knowledge and experience in dealing with the Bankruptcy Code, the Uniform Commercial Code, New Jersey foreclosure laws, and other laws and procedures that are essential to expedite and maximize the collection of secured and unsecured debts for our clients. That background also makes them invaluable resources to provide counseling and guidance to clients who have had financial setbacks and who may need assistance in dealing with creditors and preserving assets. Corporate Governance. Attorneys in the Corporate Governance Practice Group advise public and private corporations, not-for-profit entities, their directors and management regarding corporate governance issues under federal and state law. The group, which includes both corporate lawyers and litigators, provides guidance regarding SEC matters, the Sarbanes-Oxley Act, the rules of the national securities exchanges, D&O insurance, corporate by-laws and charters, and other governance issues.
