Business Organizations Department
The name of the Business Organizations Department at Schenck, Price, Smith & King gives a clue to the diversity of legal matters handled by the attorneys in this department. What once might have been called "corporate law" has given way to a practice that serves many different forms of entities, and that handles a broad range of subject matters.
The major function of the attorneys within the department is to assist our clients in structuring and consummating the numerous and varied functions that they encounter in their businesses. Our services in this regard may include, among others:
- The formation of entities, including corporations, partnerships, limited partnerships, limited liability companies, limited liability partnerships, professional associations, or joint ventures, including the preparation of certificates, by-laws and other organizational documents.
- Preparation of shareholders' agreements, partnership agreements, buy/sell agreements, stock option plans, executive compensation plans, employee benefit plans, contracts, non-competition agreements, licensing agreements and other related agreements regarding the ownership and operation of a business entity.
- Structuring and closing business transactions, including the purchase and sale of businesses and business related property, mergers and acquisitions, and other related transactions.
- Working in conjunction with the Tax, Trust and Estate Department to provide corporate, partnership and association tax planning for entities and their principals.
- Working in conjunction with the Litigation Department to provide litigation support in business cases including stockholder disputes, corporate takeovers, and others.
- Handling transactions related to e-commerce, Internet law and computer law, and counseling clients regarding copyright, trademark, and licensing issues.
- Counseling clients on all aspects of labor and employment law, drafting handbooks, pension plans, employee benefits, and labor relations.
- Services relating to education law, municipal law, and all aspects of representing municipal corporations and governmental organizations at the state and local level. The firm currently represents a municipality, numerous boards of education, and several planning boards and boards of adjustment. We provide general representation and, for matters of a transactional nature, we provide services as special counsel.
- Preparation, review, and negotiation of construction contracts.
- Services relating to public finance law. The firm serves as special counsel to the New Jersey Economic Development Authority for bond matters. It has served as borrower's counsel on numerous and various tax-exempt and taxable bond issues.
- Services relating to securities law, public and private offerings.
